Terms and Conditions

The following Terms and Conditions govern access, use, and commercial relationships between PDCAhub (hereinafter, "the Company") and any customer or supplier (hereinafter, "the User") who interacts with our website or contracts our services.

By browsing pdcahub.com or contracting any service, the User accepts these terms in their entirety. If you do not agree, please refrain from using the site.

1. Definitions

  • PDCAhub: Consulting firm specialized in industrial automation, quality systems, and digital transformation.
  • Customer: Individual or legal entity that contracts professional services with PDCAhub.
  • Supplier: Individual or legal entity that provides goods or services to PDCAhub.
  • Website: The set of pages accessible through pdcahub.com.
  • Services: Consulting, training, audits, automation development, and continuous improvement projects.

2. Use of the Website

The content of this site is for informational and commercial purposes. The User agrees to:

  • Use the information lawfully and in good faith.
  • Not reproduce, distribute, or modify the content without prior written authorization.
  • Not carry out activities that damage, overload, or impair the operation of the site.
  • Not attempt to access restricted areas or third-party information without permission.

3. Services Offered

PDCAhub provides consulting services in the following areas:

  • Industrial automation and control design.
  • Implementation of quality management systems (ISO 9001, IATF 16949, VDA 6.3).
  • Training in Lean Six Sigma, root cause analysis, and problem solving.
  • Digital transformation and artificial intelligence applied to industrial processes.
  • Process and system audits.

The scope, deliverables, and timelines of each project will be defined in a specific written proposal or contract.

4. Relationship with Customers

  • Quotations: Quotations are valid for 30 natural days unless otherwise stated.
  • Contracting: Services are formalized through a purchase order, contract, or written proposal acceptance.
  • Payments: Payment terms are set in each proposal. In case of delay, PDCAhub may suspend services until regularization.
  • Cancellations: The Customer may cancel a project by written notice. Payments made for work already performed are non-refundable.
  • Confidentiality: PDCAhub undertakes to keep the Customer's technical, operational, and commercial information confidential, except as required by competent authority.

5. Relationship with Suppliers

  • Purchase orders: All acquisitions are formalized through a purchase order with agreed technical specifications, quantities, prices, and delivery times.
  • Deliveries: The Supplier must comply with the agreed dates and specifications. Unjustified delays may lead to penalties or cancellation.
  • Invoicing: Invoices must be issued in accordance with current Mexican tax legislation and sent within the agreed timeframes.
  • Quality: Goods and services must meet the agreed quality standards and applicable regulations.

6. Confidentiality and No Direct Contact

During the commercial relationship with PDCAhub and for a period of 24 months after its termination, the User agrees to:

  • Suppliers: Not contact, offer services to, or establish a direct commercial relationship with PDCAhub's customers without prior written authorization.
  • Customers: Not hire directly any suppliers, subcontractors, or collaborators introduced or managed by PDCAhub without prior written authorization.
  • Not disclose to third parties any confidential, strategic, or commercial information exchanged during the relationship with PDCAhub.
  • Not use contact data, customer lists, or operational information obtained through PDCAhub for purposes other than those agreed upon.

Breach of this clause may result in legal action for damages, including loss of profits derived from the commercial relationship.

7. Intellectual Property

All content on the website (texts, images, logos, videos, source code) is the property of PDCAhub or its respective licensors. Its total or partial reproduction without express authorization is prohibited.

Regarding projects developed for Customers: the specific project deliverables become the Customer's property once full payment is made, unless otherwise agreed in writing. PDCAhub's general methodologies, tools, and know-how remain as the Company's intellectual property.

By accepting these Terms and Conditions, the User acknowledges that all intellectual property developed, adapted, or improved by PDCAhub may be reused, replicated, or adapted by PDCAhub for other customers, companies, businesses, or projects of the same or different nature, unless a specific exclusivity agreement is signed by both parties. This includes, but is not limited to, templates, automations, scripts, processes, methodologies, and lessons learned.

8. Limitation of Liability

PDCAhub puts its best effort and knowledge into every project, but does not guarantee specific business results (sales increase, exact cost reduction, etc.) as these depend on variables outside our operation.

PDCAhub's liability shall be limited to the amount actually paid by the Customer for the service in question, except in cases of proven willful misconduct or gross negligence.

9. Personal Data

The processing of personal data is governed by our privacy policy and the Mexican Federal Law on the Protection of Personal Data Held by Private Parties. Data collected is used exclusively for commercial, contact, and service provision purposes.

Use of data with artificial intelligence: For reasons of speed, efficiency, and continuous improvement of our processes, the User grants consent for PDCAhub to use anonymized and aggregated data in artificial intelligence and machine learning tools. PDCAhub expressly commits not to use real names, direct identifiers, or sensitive financial data in such processes. Any data used for training or optimization of AI models will be previously de-identified.

The User may exercise their ARCO rights (Access, Rectification, Cancellation, and Opposition) by sending an email to ivan@pdcahub.com.

10. Modifications

PDCAhub reserves the right to modify these Terms and Conditions at any time. Changes will be posted on this page with the corresponding update date. We recommend reviewing this section periodically.

11. Governing Law and Jurisdiction

These Terms and Conditions are governed by the laws of the United Mexican States. For any controversy arising from their interpretation or fulfillment, the parties submit to the jurisdiction of the competent courts of Puebla City, Puebla, expressly waiving any other jurisdiction that may correspond to them.
